Prohibited Use

- Use the Platform for spam, harassment, hate speech, or illegal activities
- Attempt to hack, reverse-engineer, or exploit the Platform
- Share your account credentials with unauthorized users
- Circumvent account or usage limits in your subscription plan
Violation of these rules may result in immediate suspension or termination of your account.
4. Account Registration

- Maintain the security of your account credentials
- Notify us immediately if you suspect unauthorized access
You are solely responsible for all activity under your account, including usage by your team members.
5. Subscription Plans and Payments
- The Platform operates on a subscription model (monthly or yearly).
- Fees are billed in advance and are non-refundable, except where required by law.
- Pricing, features, and limits for each plan are available on our website.
- We reserve the right to update pricing or plan features with prior notice.
- Failure to pay subscription fees may result in suspension or termination of access to the Platform.
6. AI Features
Social Shade AI provides artificial intelligence–driven insights and automation to enhance your social media management. AI outputs are generated based on algorithms and third-party integrations and may not always be accurate or suitable for your specific use case.
You are solely responsible for reviewing and approving AI-generated content before publishing.
We disclaim liability for any damages, reputational loss, or third-party claims resulting from the use of AI outputs.
7. Data and Privacy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, store, and secure your data. By using the Services, you authorize Social Shade AI to store and process data from your connected social accounts strictly for providing the agreed functionalities.
You retain ownership of your content; we only process it for operational purposes.
We do not sell your personal data or connected account data to third parties.
8. Third-Party Platforms and Proxies
The Platform integrates with third-party services (e.g., Facebook, Instagram, YouTube, TikTok, LinkedIn).
You are responsible for complying with the terms of those platforms, including any restrictions on automation, multi-accounting, or proxy use.
Proxy Usage Disclaimer:
- If you choose to use proxies for managing your social accounts, you do so at your own risk.
- Social Shade AI and Wayanjo L.L.C. assume zero responsibility for any issues resulting from proxy usage, including but not limited to account restrictions, suspensions, shadow bans, or permanent bans imposed by social platforms.
Platform Consequences:
We are not liable for any reputational, financial, or operational damages resulting from enforcement actions by third-party platforms.
9. Intellectual Property
The Platform, its design, features, logos, and code are the exclusive property of Wayanjo L.L.C. and are protected under intellectual property laws.
You may not copy, modify, distribute, or create derivative works from our Services without prior written consent.
You retain rights to the content you upload or generate through the Platform.
10. Service Availability
We strive for 99% uptime, but occasional downtime may occur due to maintenance, updates, or unforeseen technical issues.
We are not responsible for losses caused by service interruptions, although we will make reasonable efforts to notify you of planned downtime.
11. Limitation of Liability
To the fullest extent permitted by law:
- The Services are provided “as is” and “as available.”
- Social Shade AI and Wayanjo L.L.C. disclaim all warranties, including fitness for a particular purpose.
- We are not liable for indirect, incidental, or consequential damages, including loss of data, revenue, or reputation.
- Our total liability for any claim shall not exceed the amount paid for the Services in the 12 months preceding the claim.
12. Termination

- Fail to pay subscription fees
- Engage in prohibited or illegal activity
Upon termination, your right to use the Services will immediately cease, but sections regarding liability, intellectual property, and data obligations will remain in effect.

We may update these Terms from time to time to reflect new features, regulations, or practices. Updates will be posted on this page with a revised Effective Date. Continued use of the Platform constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of Wyoming, USA, without regard to conflict of laws principles. Any disputes shall be resolved in the courts of Cheyenne, Wyoming.
